Standard License Agreement

    Applies To: All media downloaded from stock.vybesproductions.com ("Vybes")

    1. Grant of Rights

    Subject to the terms of this Agreement, Vybes Studio grants you a perpetual, non-exclusive, non-transferable, worldwide license to use the purchased content ("Licensed Asset") in the following ways:

    Permitted Uses:

    • Commercial digital media: Websites, social media, email campaigns, online advertising
    • Print media: Flyers, brochures, signage (up to 500,000 copies)
    • Video productions: Web videos, YouTube, digital ads (non-broadcast only)
    • Presentations: Slideshows, pitch decks, internal corporate materials
    • Personal use: Home videos, non-commercial blogs, educational projects

    The license includes editing, cropping, and color correction for use within these allowed contexts.

    2. Restrictions

    You may not use the Licensed Asset in the following ways without written permission or an Extended License:

    Prohibited Uses:

    • Broadcast, theatrical, or OTT (e.g. Netflix, Hulu) distribution
    • Merchandise or resale products (e.g. t-shirts, mugs, digital templates)
    • Sublicensing or sharing the file with third parties
    • Standalone file distribution, even if free
    • Trademarks or logos: You may not use any Licensed Asset as part of a brand identity
    • Defamatory, pornographic, or unlawful content
    • AI training or machine learning datasets
    • NFTs or blockchain-based products

    3. Ownership and Copyright

    All rights, title, and interest in the Licensed Asset remain with Vybes Studio. This license does not grant you ownership, only usage rights. You agree not to falsely claim ownership or authorship of the Licensed Asset.

    4. Seat Limitations

    This license is valid for one user or a single business entity. If multiple team members will access and use assets, you must purchase additional licenses or contact us for a multi-seat arrangement.

    5. Liability and Indemnity

    Vybes Studio warrants that:

    • The Licensed Asset does not infringe known third-party intellectual property rights.
    • All recognizable people or properties have signed model or property releases (unless otherwise noted).

    However:

    • Vybes is not liable for contextual or modified usage.
    • You agree to indemnify and hold Vybes harmless from any claims arising from your misuse or breach of this license.

    Total liability under this license is capped at $10,000 USD per asset.

    6. Termination

    This license remains in effect indefinitely unless you breach any part of this Agreement. Upon termination, you must cease use and delete all copies of the Licensed Asset.

    7. Governing Law

    This Agreement is governed by the laws of the Turks and Caicos Islands. Any legal disputes shall be resolved exclusively in the courts of Turks and Caicos.

    8. Attribution

    No attribution is required, but crediting Vybes Studio is appreciated when feasible (e.g. "Video by Vybes Studio").
